Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Orana Stay platform and services ("Service") provided by Orana Software Inc. (a Wyoming corporation) and Orana Software Pty Ltd (an Australian company), collectively referred to as "Orana Stay", "we", "us", or "our".

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. The Service is intended for business use only, by agreeing to these Terms, you represent that you are using the Service on behalf of a business entity.

1. The Service

Orana Stay provides a software platform for hospitality operators to create, manage, and publish AI-generated digital guest guidebooks, and, on paid plans, access additional modules including PMS integrations, pre-check-in forms, unified messaging, smart upselling, AI Concierge, and analytics.

Free tier

We offer a free tier that includes an AI-generated guest guidebook, local experience discovery, maps, weather, WiFi details, and a Book Direct tab. The free tier is available at no cost provided your property has bookable experiences available within 50km as determined at signup. We earn a commission of 8–15% on experience bookings made through your guidebook.

Paid plans

Paid plans are offered on a monthly subscription basis, priced per room or property. Exact pricing is confirmed at the time of agreement with our team.

2. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at info@oranasoftware.com if you become aware of any unauthorised access to your account.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to publish false, misleading, or defamatory content in your guest guidebook
• Attempt to gain unauthorised access to any part of the Service, other accounts, or our infrastructure
• Use the Service to transmit spam, malware, or any harmful code
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or sublicense access to the Service without our prior written consent
• Use automated tools to scrape or extract data from the Service
• Violate any applicable laws or regulations in connection with your use of the Service

4. AI-Generated Content

The Service uses artificial intelligence to generate content for your guest guidebook based on information you provide, including your property website URL, OTA listings, and uploaded files. You acknowledge that:

• AI-generated content is produced automatically and may not be 100% accurate
• You are responsible for reviewing your guidebook and correcting any inaccuracies before publishing
• We make no warranty that AI-generated content will be error-free, complete, or suitable for any particular purpose
• You retain ownership of the source content you provide; you grant us a licence to process that content to deliver the Service

5. Your Content

You retain ownership of all content you upload or provide to the Service ("Your Content"), including property information, photos, documents, and website URLs. By providing Your Content, you grant Orana Stay a non-exclusive, worldwide, royalty-free licence to use, process, reproduce, and display Your Content solely for the purpose of providing the Service to you.

You represent and warrant that You Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.

6. Payment and Billing

Paid plans are billed monthly in advance. Payment is processed via Stripe. By subscribing to a paid plan, you authorise us to charge your nominated payment method on a recurring monthly basis.

If a payment fails, we will attempt to notify you and may suspend your access to paid features until payment is resolved.

All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes applicable in your jurisdiction.

Upsell processing fee

When guests make upsell payments through your Orana Stay guidebook (for example, early check-in, late checkout, or other add-ons charged via Stripe), Orana Stay retains a 2.5% processing fee on the total amount charged. This fee is deducted from the transaction before funds are remitted to you, and covers our operating costs associated with managing the payment flow. This fee is separate from and in addition to Stripe's standard payment processing fees, and does not apply to experience bookings made through Viator or FareHarbor.

7. Cancellation and Refunds

The free tier may be cancelled at any time by deleting your account. There is no charge associated with free tier cancellation.

8. Suspension and Termination

We reserve the right to suspend or terminate your account at our discretion, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if your account poses a security risk. In cases of material breach, we may terminate immediately.

You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

9. Intellectual Property

The Service, including its software, design, trademarks, and all Orana Stay-owned content, is the exclusive property of Orana Software Inc. and Orana Software Pty Ltd. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licence to use it as described herein.

"Orana Stay", "Orana Software", and associated logos are trademarks of Orana Software Inc. You may not use our trademarks without prior written permission.

10. Third-Party Services and Integrations

The Service integrates with third-party platforms including PMS providers, payment processors, messaging services, and experience booking platforms. Your use of those third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

Experience commissions earned through Viator and FareHarbor integrations are processed independently by those platforms. We are not liable for any failure by those platforms to pay commissions or fulfil bookings.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF AI-GENERATED CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORANA STAY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL ORANA STAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

12. Indemnification

You agree to indemnify, defend, and hold harmless Orana Stay and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration in Wyoming, USA, except that either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.

For users located in Australia, nothing in these Terms limits any rights you may have under the Australian Consumer Law.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Orana Stay regarding the Service and supersede all prior agreements and understandings.
